NetMotion Wireless and Padcom Announce Merger

Leading mobile VPN players join forces to capitalize on growing market opportunity

Seattle, WA and Bethlehem, PA — June 15, 2006 — NetMotion Wireless, Inc., and Padcom, Inc., have agreed to merge in a deal that creates the largest dedicated provider of mobile VPN solutions in the industry. The new entity will offer enterprises the industry’s leading mobile VPN technology, supported by extensive technical resources and a proven executive team.

The combined company will be headquartered in Seattle, Washington, with offices in Bethlehem, Pennsylvania, and will be led by Bob Hunsberger, formerly CEO of NetMotion Wireless. Gordon H. Smith, formerly chairman of the board of Padcom, will be chairman of the new company.

To be known as NetMotion Wireless, Inc., the merged firm will continue to support customers using current versions of Mobility XE (from NetMotion Wireless) and TotalRoam (from Padcom). Future versions of the new company’s mobile VPN solution will be based on the current Mobility XE platform, but will integrate some best-of-breed features from TotalRoam.

"The enterprise wireless data market is really starting to take off," said Gene Signorini, vice president with Yankee Group. "There is now a very real opportunity for a competitor with the right resources, focus and ability to execute to become the leading player in the mobile VPN space. With their combined intellectual property, development team and financial backing, the company formed by the merger of Padcom and NetMotion Wireless is well positioned to be that player."

"This merger is about two companies coming together to seize the opportunity in a hot market space," said Bob Hunsberger, CEO of NetMotion Wireless. "Together we have the industry’s leading mobile VPN technology and more than 900 customers. I believe we have more engineering resources dedicated to creating world-class Mobile VPN solutions than any other firm."

"The Mobile VPN market is accelerating, due to factors such as the broad availability of high-speed wireless networks and the release of devices running Windows Mobile 5.0," said Gordon Smith, Chairman of the board for the new company. "This merger creates the clear leader in that space."

In addition, the previous patent litigation between Padcom and NetMotion Wireless is resolved by this merger.
